Humanas B.V., operating under the name HESPAR, is responsible for the execution of the terms and conditions below.
Article 1. General & Definitions
Client: the party entering into an agreement with Humanas B.V.
Contractor: Humanas B.V.
Agreement: written or orally agreed assignment.
Force Majeure: circumstances beyond the control of the parties.
Written: by email (finance@hespar.nl) or signed document.
Article 2. Services
Services include preparation, delivery of programs, meetings, coaching, and interim evaluations. For long-term projects, phases and reflection moments are included.
Article 3. Formation of Agreement
An agreement is established upon written confirmation or verbal agreement, confirmed in writing.
Article 4. Changes to the Agreement
Changes are recorded in consultation and may affect planning and costs. No extra fees for contractor’s errors.
Article 5. Confidentiality & Group Safety
Both parties commit to confidentiality. For group sessions, psychological safety is a shared responsibility. Confidentiality within the group is explicitly addressed.
Article 6. Fees & Costs
Fees are based on half-day/hourly rates, excluding VAT. Expenses for travel (€0.25/km ex. VAT), accommodation, catering, and materials are covered by the client. Additional costs are agreed upon in advance.
Article 7. Best Effort Obligation & Liability
No guarantee on results. Outcomes depend on cooperation and engagement. Liability is limited to the invoice amount. No liability for indirect damages.
Article 8. Force Majeure
In case of force majeure, the agreement may be suspended or terminated. If it lasts over two months, both parties may end the agreement.
Article 9. Cancellation & Rescheduling
Within 4 weeks: 100% fee. Within 8 weeks: 50%. Before 8 weeks: only incurred costs. For long-term partnerships, rescheduling may be allowed at no extra cost.
Article 10. Payment
50% due upon agreement, 50% within 14 days after completion. 1% interest per month for late payment. Collection costs are the client’s responsibility.
Article 11. Intellectual Property & Usage
All materials and methods remain the property of Humanas B.V. Limited internal reuse is allowed with source credit and internal use only.
Article 12. Facilities
The client provides venue and materials. For digital sessions, the client provides the online platform. All costs are borne by the client.
Article 13. Disputes
Dutch law applies. Disputes preferably resolved via mediation. If not successful, the court in the company’s location has jurisdiction.
